Before you sign the dotted line with Salesforce, be aware that these integrations can be set at any time in accordance with section 4.2 of the Salesforce User Agreement. In the section titled “Integration with Non-SFDC Applications”, it is stated that use of the SFDC Platform and Service may be used due to (a) a breach by you or a user of the terms of this SFDC Service Agreement, b) termination or expiration of the Reseller`s agreement with SFDC, pursuant to which the Reseller provides the Platform to you as part of the Reseller Application, be immediately discontinued and/or suspended. and/or (c) a breach of Reseller`s obligations to SFDC with respect to subscriptions it provides to you under this SFDC Service Agreement. If you use the Reseller Application in combination with an sfDC service organization that has not been used exclusively for the use of the Reseller Application (a “Shared Org”), you acknowledge and understand that (i) access to that org, including the Reseller Application used in connection with that organization, may be suspended due to your non-payment to SFDC or another breach of your agreement with SFDC, and (ii) if your relationship with SFDC is severed due to non-payment or other material breach of your agreement with SFDC, your subscriptions to the Platform will also be terminated. In no event shall any such termination or suspension result in SFDC liability to you for any refund or other indemnity. SFDC is a third party beneficiary of the agreement between you and the reseller, solely with respect to this SFDC Service Agreement. In other words, if you`re bound by an agreement and find that you need fewer features or users than what was originally sold to you, you don`t have to pay for it. Essentially: negotiate, negotiate, negotiate. The good news here is that Salesforce is willing to discuss some contractual terms at least in advance.
